Arina Shulga is a corporate and securities lawyer with extensive experience representing startups and emerging growth companies from formation through initial rounds of financing and beyond, ensuring that the companies are well protected and enabled to grow and succeed. She also advises angel investors and venture capital funds in making investments.

Arina’s clients include emerging investment fund managers launching their investment funds, whether they invest in securities (hedge funds) or private companies (private equity or VC funds). In addition to fund formation, she forms and structures fund management entities with particular focus on maximizing tax benefits, profit sharing, and buy-sell provisions. She ensures that fund formations are handled in compliance with the Investment Company Act, the Investment Advisers Act, and the Securities Act, as well as “blue sky” laws.

For her clients in the technology space, Arina drafts and negotiates complex software license agreements, master services agreements, support level agreements, software escrow agreements, purchase orders, and terms of use for technology company clients.

As a native Russian speaker, Arina works to enable Russian-speaking founders and investors to conduct and expand their business in the United States or to get venture financing for an exit transaction. Her services in this area include, but are not limited to, entity formation, advice and counseling regarding operations in the United States and applicable laws, structuring complex joint ventures and distribution agreements, special purpose investment vehicles, and other investment and exit opportunities.

In addition, Arina advises on the current legal framework relating to equity crowdfunding and the security and utility token issuances in the United States.

Arina is active in the New York City startup community and is a member of the Wall Street Blockchain Alliance. She is an adjunct professor at Fordham Law School, where she teaches entrepreneurial law.
